Terms of Service

1. General

These terms apply to the use of the ProjectBuddy.ai service ("Service") maintained by PMO Consulting Oy ("Service Provider"). The Service is an AI-assisted project management system that helps users plan, monitor, and report projects efficiently.

The Service may be used by all individuals, companies, or their authorized employees ("User" or "Customer") who register as users of the service. By registering or using the service, the Customer bindingly accepts these terms.

2. Contract Formation and Validity

A contract for the Service is formed when the Customer registers for the ProjectBuddy.ai service, accepts these terms, or signs a separate subscription or usage agreement.

The contract is valid until further notice unless otherwise agreed. The Customer may terminate the contract at any time. Any paid period continues until its end, and payments are not refunded for partially used periods.

3. Service Content and Usage Rights

The Customer is granted a non-transferable right to use the Service for the duration of the contract. The usage right covers normal use of the Service, including AI features and processing of the user's own data.

The Customer may not:

• replicate, copy, or resell the Service
• use the Service contrary to law or third-party rights
• disrupt or endanger the Service's operation

The Service Provider may update, develop, or modify the Service's features without separate notice, provided the changes do not materially impair the service's functionality.

4. Pricing and Payment Terms

The Service's price list is available on ProjectBuddy.ai's website or in a separate offer. Payments are invoiced in advance according to the selected billing period (monthly or annual billing).

Payment is charged from the bank or credit card saved during service registration. All prices are quoted including value-added tax (25.5%).

The Service Provider has the right to adjust prices by notifying the customer at least 30 days in advance. The Customer then has the right to cancel their subscription before the price increase takes effect.

5. Customer Responsibilities

The Customer is responsible for:

• proper management of usernames and passwords
• accuracy and legality of information entered into the service
• security of their own devices and networks

The Customer is also responsible for ensuring the service is not used in a manner that violates law, data protection, or third-party rights.

6. Service Provider Responsibilities and Liability Limitation

The Service is provided "as is" and "as available" without express or implied warranties. The Service Provider does not guarantee that the Service is error-free or uninterrupted.

The Service Provider is not liable for:

• indirect damages (e.g., business loss, data loss)
• content or accuracy of information entered by the Customer
• accuracy of suggestions or analyses produced by AI features

The Service Provider's maximum liability is always limited to the amount the Customer has paid for the service during the 12 months prior to the occurrence of the damage.

7. Intellectual Property Rights and AI-Generated Content

All intellectual property rights related to the ProjectBuddy.ai service and its software belong to PMO Consulting Oy or its licensors.

The Customer retains ownership of content and data they enter, as well as reports, suggestions, and analyses produced by AI to the extent they are based on the customer's own material.

The Service Provider has the right to process and analyze service usage data for service development, error correction, and statistical monitoring in anonymized form.

8. Data Protection and Personal Data Processing

The Service Provider acts as the data controller for personal data of ProjectBuddy.ai service users. Information and rights regarding personal data processing are described in a separate Privacy Policy.

The Service Provider commits to processing personal data in accordance with the EU General Data Protection Regulation (GDPR) and Finnish Data Protection Act.

9. Termination and Contract Ending

The Customer may cancel the subscription at any time by ending the subscription in the ProjectBuddy service. The Service remains available until the end of the billing period, and payments are not refunded for used time.

The Service Provider has the right to suspend or terminate the subscription immediately if the Customer materially breaches these terms or uses the service unlawfully.

10. Force Majeure

The Service Provider is not liable for delays or damages resulting from circumstances beyond its control (e.g., strikes, natural disasters, power outages, network disruptions, government actions).

11. Applicable Law and Dispute Resolution

These terms are governed by Finnish law.

Possible disputes shall primarily be resolved through negotiation. If no settlement is reached, disputes shall be resolved in the District Court of Pirkanmaa.

12. Changes to Terms

The Service Provider has the right to modify these terms by notifying the Customer of changes via email or in the Service at least 30 days before the changes take effect.

By continuing to use the service after changes, the Customer accepts the updated terms.
